1. Agreement to terms
By accessing or using the byteprojects website ("Site") or engaging our services, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Site or our services.
2. Services
byteprojects provides Web3, blockchain, and AI software development, consulting, and related professional services. Specific deliverables, timelines, fees, and scope are defined in separate statements of work, proposals, or contracts agreed with each client.
3. Use of the website
You agree not to:
- Use the Site in any unlawful manner or for fraudulent purposes.
- Attempt to gain unauthorized access to our systems, networks, or data.
- Interfere with or disrupt the Site's operation or security.
- Copy, scrape, or redistribute Site content without our prior written consent.
4. Intellectual property
Unless otherwise agreed in writing, byteprojects retains ownership of pre-existing materials, methodologies, tools, and know-how. Upon full payment, clients receive rights to deliverables as specified in the applicable project agreement.
You may not use our name, logo, or branding without prior written permission, except as reasonably required to describe a completed engagement with our approval.
5. Client responsibilities
Clients are responsible for providing accurate project information, timely feedback, required access, and compliance with applicable laws related to their products, tokens, data, or regulated activities. Delays caused by missing inputs may affect timelines and delivery dates.
6. Fees and payment
Fees, invoicing schedules, and payment terms are set out in individual agreements. Unless stated otherwise, invoices are due within the period specified in the agreement. Late payments may incur interest or suspension of work as permitted by law and contract.
7. Confidentiality
Each party agrees to protect the other's confidential information and use it only for purposes related to the engagement. Confidentiality obligations do not apply to information that is public, independently developed, or lawfully obtained from a third party without restriction.
8. Disclaimers
The Site and any general information we provide are offered "as is" and "as available" without warranties of any kind, whether express or implied. We do not guarantee uninterrupted access, error-free operation, or specific business outcomes.
Blockchain, cryptocurrency, and AI technologies involve regulatory, technical, and market risks. You are solely responsible for decisions related to deployment, compliance, and use of any solutions we help build.
9. Limitation of liability
To the maximum extent permitted by law, byteprojects shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill. Our total liability arising from any claim related to the Site or services shall not exceed the fees paid to us for the specific engagement giving rise to the claim during the twelve (12) months preceding the event, unless a different limit is set in a signed agreement.
10. Indemnification
You agree to indemnify and hold byteprojects harmless from claims arising out of your misuse of the Site, violation of these Terms, or infringement of third-party rights related to materials or instructions you provide.
11. Termination
We may suspend or terminate access to the Site if you breach these Terms. Project engagements may be terminated according to the terms of the applicable contract. Provisions that by nature should survive termination will remain in effect.
12. Governing law
These Terms are governed by the laws applicable in the jurisdiction specified in your project agreement, or otherwise the laws of India if no separate agreement exists, without regard to conflict of law principles. Disputes shall be resolved in the courts or forum designated in the applicable agreement.
13. Changes to these terms
We may update these Terms from time to time. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms. For active client engagements, signed agreements prevail over conflicting website terms.
